CONSUMER TERMS OF SALE

PLEASE READ THESE TERMS OF SALE CAREFULLY BEFORE PLACING YOUR ORDER AND RETAIN A COPY OF THESE TERMS AND YOUR ORDER FOR FUTURE REFERENCE

1. Definitions 

1.1 In these Terms of Sale:

‘DBI’ or ‘We’ or ‘Us’

means Design & Build Interiors Limited (trading as DBI) Co. No. 6818938 whose registered office is at Unit 25C Carr Grange, White Rose Way, Doncaster, South Yorkshire, DN4 5HY

‘the Customer’ or ‘You’

means the person named on the order whose Order for the Goods is accepted by DBI

‘Contract’

Means the legally binding Contract created where DBI accepts Your Order

‘Quotation’

means the quotation and/or the Order for the purchase and sale of the Goods, together with these Terms

‘Delivery Address’

means the Customer’s address stated on the Order

‘Goods’

means the kitchen cabinets, appliances, fittings, home, office and study equipment or such other goods as are provided under the Order

‘Installation Date’ 

means the estimated date given in the order or quotation

‘Order’

means the Customer’s Order to which these Terms relate.

‘Price’

means the price of the Goods and/or the charge for the Services

‘Property’

means the premises at the Delivery Address where the Goods will be installed

‘Specifications’

Includes any plans, drawings, data or other information produced by DBI in carrying out the initial Survey of the Property

‘Survey’

means a measurement only survey carried out for DBI to determine the required size and quantity of the Goods.  DBI does not undertake to make any type of structural assessment nor does DBI inspect the Property beyond the area immediately required for the fitting of any Goods or provision of any services

‘Services’

means the installation of the Goods or any part of them and building work specified in the Quotation or Order

‘Terms’

means these terms and conditions of sale

 

2. Formation of the Contract

2.1 These Terms of Sale apply to all Goods and Services supplied by Us, to the exclusion of any other conditions introduced by the Customer or any previous Terms

2.2 No Contract exists between You and Us for the sale of any Goods or Services until We have received and accepted your Order and We send You confirmation in writing.  Once We do so, there is a binding legal Contract between You and Us

2.3 DBI may change these Terms without notice to You in relation to future sales.

2.4 DBI’s employees or agents are not authorised to make any representations concerning the Goods or Services unless confirmed by a director of DBI in writing.  In entering into the Contract You acknowledge that You do not rely on any such representations unless they are included in the “Special Requirements” shown overleaf

2.5 Any advice or recommendation given by DBI or its employees or agents to You as to the storage, maintenance or installation of the Goods which is not confirmed in writing by DBI is followed or acted upon entirely at your own risk, and accordingly DBI shall not be liable for any such advice or recommendation which is not so confirmed

2.6 The Contract is conditional on DBI’s surveyor approving the works and We reserve the right to cancel the Contract or make any modifications necessary following Survey.

2.7 The Customer must establish and obtain any necessary planning permission or building regulation consent or listed building consent are required in relation to the installation of the Goods at the Property

 

3. Description and Price of the Goods and/or Services 

3.1 The description and Price of the Goods and Services and the work to be carried out according to your Order is limited to that specifically mentioned overleaf.  Any variation of the Contract may be subject to an additional charge at DBI’s discretion

3.2 Demonstration kitchens, home, offices and other products are used as examples to demonstrate and/or illustrate the working of a typical product and its composition and drawings and other details in the Company’s catalogue and sales and promotional literature are intended as a guide only.  The Goods will be manufactured and installed by DBI using such methods, materials and specifications as DBI considers suitable and appropriate as part of DBI’s policy of continuous improvement of products and installation methods.  DBI reserves the right to make any modification in design, specification or composition as it shall deem appropriate

3.3 Every effort is made to ensure the quality of the glass supplied (if any) but We cannot accept liability for minor imperfections arising from the glass manufacturing process.

3.4 The Goods are subject to availability.  If on receipt of your Order raw materials or components for the Goods You have ordered are not available, DBI will inform you as soon as possible.

3.5 Every effort has been made to ensure that Prices given in DBI’s Quotations or Orders are accurate. If an error is found in the Quotation or Order we will inform You as soon as possible and offer You the option of reconfirming your Order at the correct Price or cancelling your Order.  If You cancel, We will refund or recredit You for any sum that has been paid by You or debited from your credit card for the Goods and/or Services

3.6 The Prices of the Goods are inclusive of VAT at the rate prevailing at the time of Order.  If changes occur the prevailing rate of VAT or new or additional taxes are levied the tax applicable at the date of substantial completion of the installation of the Goods will be charged.

 

4. Additional Work 

4.1 The Price assumes the structural integrity of the Property where the Goods are to be installed.  Any building work or repairs which are found to be necessary either during Survey or installation will be subject to an additional charge

4.2 We do not undertake to move services, fixtures and/or fittings which are ancillary to the basic structure of the Property e.g. radiators, pipes, electricity, telephone or television cables unless specifically provided for in the Quotation.  The Customer must provide a clear working area to enable the Goods to be installed.

4.3 We cannot guarantee to avoid causing superficial damage to surrounding wallpaper and/or paintwork and/or other internal decoration, or to avoid damage to ceramic or other tiles in the same area.  The making good of that damage including replacement of tiles is the Customer’s responsibility

4.4 DBI cannot undertake to remove any existing cupboards, framework, doors, glass, frames, intact or without causing damage to their surroundings

4.5 The title to all materials removed at the Property during the course of the installation will be immediately transferred to DBI, and all such materials will be cleared from the site and cannot be retrieved thereafter.  If any materials are required to be retained (subject to clause 4.4) this must be clearly stated in writing and provided to DBI prior to the date of installation.

4.6 The Customer acknowledges that it is their responsibility to protect house furnishings during the installation of the Goods

4.7 DBI cannot accept responsibility for any damage caused resulting from structural or other defects in the Property.

 

5. Supply Only 

5.1 If there is no one at the Delivery Address who is competent to accept delivery of the Goods, You will be notified of an alternative delivery date or a place to collect the Goods and We will be entitled to charge You for any additional delivery or storage costs We may incur

5.2 The Customer shall be responsible for checking the Goods upon delivery.  If there are any missing or damaged parts You shall notify DBI whether unpacked or not within 7 days of delivery of the Goods.  If such conditions are complied with DBI will replace such missing or damaged items within a reasonable time (time is not of the essence)

5.3 Delivery will not take place until your cheque payment has been transacted

 

6. Payment 

6.1 A 50% non-refundable Deposit must accompany the Order

6.2 Payment of the outstanding balance (excluding the fitters fee which is payable directly to the fitters on completion of the installation) must be paid prior to the installation commencing.

6.3 We will accept payment in cash or by cheque made payable to “Design and Build Interiors Limited”, or the Customer’s signed authority for the release of financial funds in favour of DBI

6.4 In the event of legal action for non-payment, the Customer shall be responsible for all legal and other professional costs incurred by DBI on an indemnity basis.

 

7. Delivery 

7.1 The Goods You order will be delivered to the Delivery Address

7.2 If delivery cannot be made to the Delivery Address, DBI will inform You as soon as possible

7.3 The Customer agrees to give free access to the Property to DBI workmen, surveyors and supervisors to carry out the Survey and the installation of the Goods during the normal working hours of DBI and free use of electricity, gas and water to enable the work specified to be completed.  If such access is not given within 30 days of the Installation Date, then the Customer shall be liable to pay to DBI the balance of the Price outstanding 7 days after that plus any additional storage or delivery charges incurred

7.4 Any delivery date or Installation Date given by DBI is a guide only and whilst every effort will be made to deliver and install the Goods at the estimated date, time of delivery is not of the essence.  DBI will not be liable for any loss or damage suffered by You through any reasonable or unavoidable delay in delivery and the provision of Services.  In this case DBI will inform You as soon as possible and You will have the right to make time of the essence if the Goods have not been delivered 6 weeks from the estimated date of delivery given by DBI

7.5 You will only become the owner of the Goods once You have paid for them but will be responsible for risk of all loss or damage to them once they have been delivered to the Delivery Address.  You must ensure that the Goods are covered by your insurance

7.6 Upon completion of the Services you will sign a note of satisfaction.  Any defects in the appearance of the Goods must be notified to DBI in writing within 48 hours of the completion of the Services

 

9. Data Protection 

9.1 DBI will take all reasonable precautions to keep the details of your Order and payment secure, but unless DBI is negligent, DBI will not be liable for unauthorised access to information supplied by You.

9.2 DBI will only use the information You provide about yourself for the purpose of fulfilling your Order, unless You agree otherwise.  DBI would like to notify You of products and offers that may be of interest to You from time to time, and if You would like to be notified of these, please tick the box overleaf. You can correct any information about You to be deleted, by giving written notice to DBI at the address, fax number or email address shown overleaf

 

10. Force Majeure

10.1 DBI shall not be liable to the Customer or be deemed to be in breach of the Contract by reason of any delay in performing, or failure to perform, any of its obligations in relation to the Goods or the Services, if the delay or failure was beyond its reasonable control.  Without prejudice to the generality of the foregoing the following shall be regarded as causes beyond DBI’s reasonable control: act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations, bylaws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargo; strikes, lock outs or other industrial actions or trade disputes (whether involving employees or DBI or of a third party); difficulties in obtaining raw materials, labour, fuel, parts or machinery; power failure or break down in machinery

 

11. Applicable Law 

11.1 These Terms of sale and the supply of the Goods and Services will be subject to English law, and the English courts will have exclusive jurisdiction in respect if any dispute arising from the Contract

11.2 As a consumer You have certain statutory rights regarding the return of defective Goods and claims in respect of losses caused by negligence on the part of DBI or failure by DBI to carry out its obligations.  Nothing in these Terms affects your statutory rights as a consumer.
